Stabilisation notice and end of the stabilisation period


Carnegie Investment Bank (publ) (“Carnegie”) notifies that stabilisation measures have been undertaken in Norva24 Group AB’s (publ) (”Norva24” or the “Company”). The stabilisation period ended 7 January 2022 and no further stabilisation will be carried out. The Over-allotment Option will not be exercised.

As announced in connection with the offering and the admission to trading of the Company’s shares on Nasdaq Stockholm (the “Offering”), Carnegie has, as stabilisation manager, had the option to perform transactions which will result in the share price being sustained at a higher level than would otherwise be the case in the open market. Stabilisation transactions have been possible to carried out on Nasdaq Stockholm, in the over-the-counter market or otherwise, at any time during the period starting on the date of commencement of trading in the shares on Nasdaq Stockholm and ending not later than 30 calendar days thereafter.

Carnegie has, however, had no obligation to carry out stabilising transactions and there has been no assurance that stabilising transactions would be undertaken. Further, stabilising transactions, if undertaken, could be discontinued at any time without prior notice. In no event could transactions be carried out at levels above the offering price (the “Offering Price”) (i.e. SEK 36 per share).

Carnegie has notified that stabilisation measures have been undertaken in respect of 9,638,586 shares in accordance with article 5(4) in the Market Abuse Regulation 596/2014. All transactions during the stabilisation period have been carried out on Nasdaq Stockholm. The stabilisation period regarding the Offering has now ended and no further stabilising transactions will be effected. In connection with the Offering the Company granted the Joint Global Coordinators with a so-called overallotment option (the “Over-allotment Option”) which has entitled the Joint Global Coordinators, no later than 30 days from the first date of trading in the Company’s shares on Nasdaq Stockholm, to acquire up to 9,638,586 additional new shares, corresponding to a maximum of approximately 15 per cent of the number of shares in the Offering, at the Offering Price (i.e. SEK 36 per share) to cover any overallotments or short positions in connection with the Offering. Such shares were allocated to investors prior to the first day of trading in the Company. The shares under the Over-allotment Option could then be used for stabilization purposes or to cover any over-allotment in connection with the Offering. The Joint Global Coordinators now notifies that the Over-allotment Option will not be exercised and accordingly, 9,638,586 shares in Norva24 that Carnegie, on behalf of the Managers, has borrowed from Valedo Partners Fund II AB with the purpose of covering the over-allotment in the Offering will be returned within short.
