Corporate governance

The corporate governance of the Company is based upon Swedish law, mainly the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) and the Swedish Annual Accounts Act (Sw. årsredovisningslagen (1995:1554)). As a company listed on Nasdaq Stockholm, the Company must also comply with Nasdaq Main Market Rulebook for Issuers of Shares and the Swedish Corporate Governance Code (Sw. Svensk kod för bolagsstyrning) as well as statements by the Swedish Securities Council (Sw. Aktiemarknadsnämnden) regarding good stock market practice on the Swedish securities market. 

Companies are not obliged to comply with every rule in the Code as the Code itself provides for the possibility to deviate from the rules, provided that any such deviations and the chosen alternative solutions are described, and the reasons therefore are explained in the corporate governance report (the so-called “comply or explain principle”). 

Norva24 aims to follow the Swedish Corporate Governance Code.
